A HK$10 Billion Handshake: Inside Bairong's Market-Capitalisation-Linked Founder Incentive

HKEX disclosures show that Bairong AI Inc. (06608.HK) proposes to grant 24,395,000 share awards to the Company's founder, chairman of the Board and chief executive officer, Mr. Zhang Shaofeng, with market capitalisation targets attached. Unlike the equity incentives common in the market, where vesting is chiefly driven by the passage of time, this entire award package is anchored purely to the Company's market capitalisation performance. Whether the shares vest does not follow the simple march of the calendar; it depends on whether the Company can clear each successive market capitalisation threshold.

According to the announcement, the proposed grant is divided into five tranches, corresponding to arithmetic average market capitalisation thresholds of HK6 billion, HK7 billion, HK8 billion, HK9 billion and HK10 billion respectively. The vesting window runs from six months after the date of grant to the fourth anniversary of the date of grant, with five progressively rising market capitalisation hurdles — each tier harder than the last. The final tier requires an arithmetic average market capitalisation of no less than HK10 billion, sustained for 183 consecutive trading days; a short-term spike in the share price will not unlock it. If the corresponding conditions are not met within the vesting period, the relevant portion of the share awards will lapse automatically. Mr. Zhang must also continue to serve as chairman of the Board or an executive Director of the Company, and continue to drive the Company's AI strategic upgrade.

The announcement describes Bairong AI as an integrated company that combines vertical-domain foundation model development with the deployment of enterprise-grade AI Agents. Mr. Zhang, a Tsinghua University alumnus with a technical background, has spearheaded the Company's development in AI, leading the team to build full-stack AI capability and to continuously iterate a number of industry-specific models. In the latest VoiceBench leaderboard — a public benchmark for large-model voice assistants — the Company's speech foundation model recently ranked first overall at the time, on the strength of its speech understanding and reasoning capabilities.

On top of this technology base, Mr. Zhang advocated and introduced the RaaS (Results-as-a-Service) business model and led the creation of the Results Cloud platform, with its three-tier architecture of Baiji, Baigong and Baihui, enabling the deployment and management of the silicon workforce. Through a flexible outcome-based pricing model, the value of the service is tightly bound to clients' business results, driving sustainable business growth. Under his leadership the Company has continued to advance its AI strategic upgrade, extending enterprise-grade Agent capabilities into logistics, securities, banking, telecom operators and other sectors, and achieving a diversified footprint across AI businesses and application scenarios.

Back to the incentive terms themselves. Some investors have noted a degree of formal similarity between this "HK10 billion market capitalisation plus long-duration maintenance" assessment logic and the market capitalisation screening applied when a stock is admitted as a Southbound Stock Connect eligible security; the HK10 billion final vesting threshold is also close to that applied in the latest Stock Connect inclusion round.

There is one further unusual feature. Even after vesting, the founder faces an additional constraint: he must honour a 24-month lock-up undertaking, under which the relevant shares may not be transferred for two years following vesting — an extra layer of self-imposed discipline on the part of the founder.

From a capital markets perspective, this combination of tiered assessment and lock-up is designed, on the one hand, to use stepped market capitalisation targets to pull management towards continuously building company value, and on the other to prevent short-term arbitrage through a long post-vesting lock-up — deeply binding together the founder's personal reward, the Company's market capitalisation growth and shareholders' long-term interests.

The incentive is intended to recognise Mr. Zhang's long-standing contribution to the Group's business development. Mr. Zhang has served as the Company's chief executive officer since March 2014 and became chairman of the Board and an executive Director in June 2018, with overall responsibility for the Group's strategic planning and business development. The Board and the Remuneration Committee consider Mr. Zhang to be the core contributor to the Company's technological, product and business breakthroughs amid intense competition in the AI industry, and that his continued service is crucial to the Group's future growth. The conditional grant both recognises his past contribution and seeks to incentivise him to continue driving the Group's AI strategic upgrade and long-term development, deeply aligning future value creation with the interests of all shareholders. The proposal is therefore reasonable.

The subsequent vesting progress of this scheme will also serve as a window through which the market can observe the Company's thinking on market capitalisation management.
